Decoding the flynas IPO: what the prospectus reveals

Decoding the Flynas IPO as it opens the door to a wealth of rich data on Saudi Arabia’s aviation landscape, far beyond what headlines reveal.

I can finally speak more openly about questions I couldn’t fully answer when I was on the inside - like how lean, agile, and profitable the airline really is.

In the run-up to the listing, this short series will unpack the prospectus, going beyond what meets the eye to decode the airline’s strategy, structure, and the story behind the numbers. The goal is to reflect on Flynas, its growth prospects and the evolving KSA/GCC market dynamics.

We will begin with the shareholding structure - before and after the IPO:

> Flynas is issuing 17.4 million new shares (of the 51.2 million offered), bringing in fresh capital.
> The public will hold 30% of the company post-listing, with 80% of the offer allocated to institutional investors and the remaining 20% reserved for retail.
> Existing shareholders, including National Flight Services and Kingdom Holding (and indirectly PIF) will retain significant influence.
> Treasury shares (~5.4%) will be allocated toward a long-term employee incentive plan.

Follow along!

Over the next few days, we will cover:

◦Business segments/ revenue streams
◦Network and fleet strategy
◦Cost structure and unit economics
◦Cost transformation program (LEAP)
◦Financial performance and profitability levers
◦Valuation range and comparables
◦Saudi aviation’s evolving dynamics
