Capital A’s Strategic Reset

Capital A’s Strategic Reset - Two focused verticals - A unified low-cost aviation group and A travel & digital group.

At the core of the move is the transfer of all AirAsia airlines into an enlarged aviation group under AirAsia X (NewCo), consolidating 7 AOCs under one leadership, one fleet strategy, and one operating philosophy. Capital A retains an 18% stake, while freeing itself to grow its digital platforms as a pure-play services group.

A. Aviation business divested into AirAsia X (NewCo → AirAsia Aviation Group)

All airlines operating under the AirAsia and AirAsia X brands will now sit inside a single aviation group:

🇲🇾 Malaysia AirAsia
🇹🇭 Thai AirAsia
🇵🇭 Philippines AirAsia
🇮🇩 Indonesia AirAsia
🇰🇭 Cambodia AirAsia
🇲🇾 AirAsia X
🇹🇭 Thai AirAsia X

Each airline will continue to hold its own AOC, but will operate under a centralised strategy, harmonised scheduling, fleet planning, and network decisions, eliminating years of fragmentation across multiple holding structures.

B. Capital A retains 18% equity

This allows upside participation while exiting airline operations, enabling:
>PN17 (financial distress classification) uplift
>A cleaner balance sheet
>Strategic focus on non-aviation growth engines

C. Capital A will evolve into a pure-play digital & services group, retaining:

>ADE (MRO)
>Teleport (logistics)
>MOVE (travel / OTA)
>Santan (F&B)
>AirAsia NEXT (digital, fintech, loyalty incl. BigPay)

Together forming an asset-light digital ecosystem, with AirAsia NEXT being evaluated for a potential NASDAQ listing.

D. Centralised aviation management under AAAMS (future operating model)

AirAsia Aviation Management Services is expected to lead groupwide functions:

Treasury
Legal & HR
Network & scheduling
Fleet planning
Safety & QA
Airport partnerships
RM
Leasing & maintenance strategy

Intended to streamline governance, reduce duplication and make decision making more nimble.

E. Expected operational synergies across the aviation group

>Cross-utilisation of aircraft via wet leasing
>Matching aircraft type to seasonal demand
>Improved network coordination
>Higher utilisation

F. Fleet Rationalisaton & Strategic Direction

Widebody exit → Narrowbody-led future
>A330neo order cancelled
>A330-300 fleet to be retired within 5-6 years (as Tony indicated)
>A320 family (incl. A321XLR) to become the group’s backbone

Deep orderbook to support growth
>400+ narrowbody aircraft on order
>Aircraft will be allocated dynamically to AOCs as required
>Centralised procurement → CASK reductions

Projected fleet expansion
>255 aircraft today → ~600 aircraft by 2035
>Full fleet reactivation targeted by end 2025

In essence, the restructuring positions AirAsia to materialise Tony’s ambition to build the world’s first narrowbody low-cost network carrier.
