The $4.8 billion Heathrow stake sale and PIF’s entry into airport infrastructure

A deep dive into the $4.8 Billion Heathrow Stake Sale & PIF’s Grand Entry into global airport infrastructure. <AirportM&A> 🌎

The ownership structure of London's Heathrow (LHR) airport, one of the world’s busiest has been shaken up with 98% of it in foreign hands now. Saudi Arabia’s Public Investment Fund (PIF) acquired a 15.01% stake, marking its first international airport investment, while the French PE firm Ardian emerged as the largest shareholder with a 22.61% stake.

The 37.62% stake sale, valued at £3.26 billion ($4.8 billion), implies Heathrow’s total enterprise value at £8.67 billion ($10.6 billion).

From BAA to Today: Ferrovial’s Evolution

Ferrovial acquired Heathrow in its £10 billion takeover of BAA plc in 2006. At the time, BAA owned and managed seven UK airports:

Heathrow (LHR)
Gatwick (LGW)
Stansted (STN)
Edinburgh (EDI)
Glasgow (GLA)
Aberdeen (ABZ)
Southampton (SOU)

Over the years, Ferrovial reduced its stake in tranches, shifting focus to more lucrative infrastructure opportunities such as the new T1 at JFK and toll roads in the US, Canada and India.

In this latest transaction, Ferrovial sold 19.75%, retaining 5.25%, while CDPQ (Canada) and USS (UK) sold a combined 17.87% by exercising their tagging rights.

Ardian now holds a 22.61% stake, making it the largest shareholder in Heathrow. The firm has considerable experience in aviation infrastructure, including stakes in Milan Linate (LIN), Milan Malpensa (MXP), Naples (NAP), and Turin (TRN). Ardian also held a 49% stake in London Luton Airport (LTN) from 2013 to 2018.

PIF’s investment aligns with Vision 2030, complementing its domestic aviation projects while reinforcing its ambition to become a global aviation powerhouse. This acquisition adds to its growing portfolio of aviation businesses - AviLease, Riyadh Air | طيران الرياض, King Salman International Airport Development Company, Saudia Technic and The Helicopter Company.

With PIF and Qatar Holding collectively owning 35.01% of Heathrow, Gulf SWFs now exert significant control over one of the world’s most strategic infrastructure assets. As The Guardian remarked in 2006, BAA’s acquisition represented “another high-profile British asset falling into foreign ownership.” With USS reducing its stake, the scales have tipped even further.

Key Financial Highlights
Transaction Value: £3.26 billion ($4.8 billion) for 37.62% of FGP TopCo.
Enterprise Value: £8.67 billion ($10.6 billion).
Ferrovial’s Initial Stake Cost: ~$18.5 billion (2006 exchange rates).
Ferrovial’s Total Gains: €2.5 billion, including sale proceeds and revaluation

Heathrow’s governance and future direction are set for change with PIF and Ardian taking central roles. However, the UK CAA's decision to reduce aero charges adds complexity to Heathrow’s revenue model.
